Terms & Conditions
The commercial terms that apply to quotations, orders, delivery, warranty and dispute resolution for Grownparts aluminum profiles and CNC machined components.
Effective date: 29 September 2026 · Last updated: 29 September 2026
1. Acceptance of These Terms
These Terms and Conditions (“Terms”) govern the sale of aluminum profiles, extrusions, connectors and machined components by Dalian Grownparts Industrial Co., Ltd. (“Grownparts”, “we”, “us”) to a business customer (“you”, “Buyer”).
By submitting a purchase order, accepting a quotation, or taking delivery of goods, you confirm that you accept these Terms. If you do not accept them, please do not place an order.
These Terms apply to business-to-business transactions. Where these Terms conflict with a signed supply agreement between us, the signed agreement prevails.
2. Definitions
| Term | Meaning |
|---|---|
| Buyer | The company or legal entity placing the order. |
| Goods | Aluminum profiles, extrusions, connectors, accessories and machined components supplied by us. |
| Order | A purchase order or written confirmation accepted by us in writing. |
| Specification | The drawings, tolerances, material grades, surface finishes and quantities agreed for the Goods. |
| Lead Time | The estimated production period between written order confirmation and readiness for shipment. |
3. Quotations and Pricing
Unless stated otherwise in writing, all quotations are:
- Valid for 30 days from the date of issue;
- Quoted on the basis stated (typically FOB Chinese port, or CIF destination port as agreed);
- Priced in the currency shown on the quotation;
- Subject to material availability and confirmation at the time of order.
Prices may need to be revised where the cost of aluminum ingot, energy, tooling, surface treatment, freight or applicable duties changes materially between quotation and order confirmation. We will notify you before confirming any revised price.
4. Orders and Acceptance
An order becomes binding only when we confirm it in writing. Order confirmation typically states:
- Product codes, profile sections and quantities;
- Material grade and temper (for example 6063-T5 or 6061-T6);
- Cut lengths, machining operations and surface finish;
- Unit price, total value and currency;
- Incoterm, port of departure and estimated lead time;
- Tooling or setup charges, where applicable.
Please review the confirmation carefully. If any detail is incorrect, contact us immediately — changes may not be possible once extrusion dies are prepared or production has begun.
5. Specifications, Tolerances and Drawings
You are responsible for supplying accurate drawings, tolerances and technical requirements. Unless otherwise agreed in writing:
- Dimensions are confirmed against the drawing you approve before production;
- Standard extrusion tolerances follow the relevant GB/T or comparable industry standard for the profile and alloy specified;
- Machining tolerances follow the values stated in our quotation or on the approved drawing;
- Minor colour and finish variation within industry norms is normal and is not a defect for anodized or coated surfaces.
Where you approve a drawing or sample, that approved version becomes the manufacturing reference. We are not liable for non-conformity that follows from an incorrect specification you supplied or approved.
6. Payment Terms
Unless otherwise agreed in writing:
| Item | Terms |
|---|---|
| Standard terms | 30% deposit on order confirmation, 70% balance before shipment |
| Repeat customers | Terms may be agreed individually, for example 30 or 60 days from bill of lading date |
| Currency | As stated on the quotation — typically USD or EUR |
| Methods | Bank transfer (T/T). Other methods only by prior written agreement |
| Charges | All bank charges outside our account are for the Buyer’s account |
We may suspend production or withhold shipping documents where payment is overdue.
7. Delivery, Title and Risk
Delivery is governed by the Incoterm stated on the order confirmation. Unless agreed otherwise:
- Title passes to the Buyer on receipt of full payment;
- Risk passes according to the agreed Incoterm;
- Lead times are estimates and run from the later of written order confirmation and receipt of any required deposit or approved drawings;
- We are not responsible for delays in transit caused by carriers, customs authorities or events outside our control.
Where the Buyer arranges its own freight forwarder, the Buyer is responsible for providing accurate shipping instructions and for any demurrage or storage charges arising from late collection.
8. Inspection and Claims
We inspect Goods before shipment and can provide inspection records or third-party inspection reports on request.
The Buyer must inspect the Goods on receipt and notify us in writing of any visible damage, shortfall or non-conformity:
| Type of claim | Notice period |
|---|---|
| Visible defects or quantity shortfall | Within 7 days of receipt |
| Latent defects not apparent on inspection | Within 30 days of receipt |
| Claims | Must include photographs, packing list references, quantity affected and a description of the deviation |
Where a valid claim is accepted, our obligation is limited to repair, replacement or a refund of the affected portion, at our option, in line with clause 10.
9. Warranty
We warrant that the Goods conform to the agreed Specification at the time of shipment and are free from defects in material and workmanship for a period of 12 months from delivery, unless a different period is stated in writing.
This warranty does not cover defects caused by:
- Misuse, overloading, improper installation or inadequate support;
- Welding, cutting, drilling or surface treatment carried out by others after delivery;
- Corrosion or damage arising from exposure in harsh environments (for example strong acids, chlorides or salt spray) where the specified finish was not designed for that exposure;
- Use outside the application the Goods were specified for;
- Normal wear, or minor cosmetic variation within industry norms.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability arising from any order is limited to the invoice value of the Goods giving rise to the claim;
- We are not liable for indirect, incidental, special or consequential losses — including lost production, lost profit, delayed construction schedules, or the cost of substitute goods;
- Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by our negligence.
11. Intellectual Property
All drawings, CAD models, technical documentation, product codes and catalogue content we provide remain our intellectual property or that of our licensors. You may use them only to evaluate, order and install our products.
Where we manufacture to your drawings or tooling, you retain ownership of your design rights, and you confirm that you have the right to have the Goods produced to that design. We will not sell customer-specific tooling or proprietary parts to third parties without your written consent.
12. Confidentiality
Each party will keep confidential any non-public technical, commercial or pricing information received from the other, and will use it only for the purpose of performing the supply relationship. This obligation continues after the relationship ends, and extends to design details, process data and customer lists.
13. Force Majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics, government action, export restrictions, power or raw-material shortages, port congestion, or carrier strikes. The affected party will notify the other promptly, and the parties will work in good faith to mitigate the impact.
14. Export Compliance and Sanctions
You represent that you are not located in, organised under the laws of, or controlled by a person subject to trade sanctions that prohibit us from transacting with you. You agree not to use our products in the design, development or production of weapons of mass destruction, or in any application prohibited by applicable export control laws.
15. Export Control
Our products are commercial-grade aluminum profiles and machined components. Where an order requires export licences or additional end-use documentation, we will cooperate in good faith to provide information required for customs and export clearance. The Buyer is responsible for import licences, duties and destination-country compliance.
16. Suspension and Termination
We may suspend or cancel an order without liability where:
- Payment is overdue beyond agreed terms;
- We reasonably believe the transaction breaches export, sanctions or anti-money-laundering rules;
- You become insolvent, or cease trading;
- You materially breach these Terms and do not remedy the breach after written notice.
Where we cancel under this clause after production has begun, we may invoice for work completed and non-cancellable materials already ordered.
17. Governing Law and Disputes
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules.
The parties will first attempt to resolve any dispute through good-faith negotiation between senior representatives. Where negotiation fails, the dispute will be submitted to the competent court or, where the parties have agreed in writing, to arbitration in accordance with the rules named in the order confirmation. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
18. Changes to These Terms
We may update these Terms from time to time. The version in force for a particular order is the version published on our website at the time of order confirmation, unless a separate signed agreement applies.
